Definitions

"Arbour" refers to Arbour Legal Services, a legal practice in Hong Kong providing venture capital, privacy, and building management advisory services.

"Services" means the legal counsel, documentation, advice, and assistance Arbour provides under an engagement.

"Client" means the person or organization engaging Arbour for Services.

"Engagement" means the scope of Services agreed between Arbour and Client.

"Confidential Information" includes all information disclosed by Client to Arbour or obtained during the engagement.

Acceptance of Terms

By engaging Arbour's Services or submitting inquiries through our website or communication channels, you accept these Terms & Conditions. If you do not agree, do not use our Services.

Nature of Services

Arbour provides legal services in three core areas: Venture Capital Documentation, Privacy Impact Assessments, and Strata Title & Building Management Advisory. All Services are subject to the scope defined in the engagement letter or proposal.

Arbour does not provide services outside the defined scope unless separately agreed and documented.

Client Capacity

By engaging Arbour, you represent that you are at least 18 years of age and have the authority to enter into a legal engagement. Corporate clients represent they have authority to bind their organization.

Scope and Limitations

The Services provided are limited to the specific matters and deliverables outlined in the engagement letter. Arbour's advice is based on information provided and circumstances existing at the time of the engagement.

Services do not extend to representation in litigation, government investigations, or matters outside the defined scope without express written agreement.

Confidentiality

All information disclosed to Arbour during the engagement is protected by attorney-client privilege and maintained in strict confidence. Arbour will not disclose Client information except:

Fees and Billing

Fees for Services are stated in the engagement letter and are based on the scope defined. Fees are exclusive of any applicable taxes or disbursements.

Invoices are due within 30 days of issuance unless other terms are specified. Arbour may suspend Services if payments become overdue.

If the scope of work expands beyond the original engagement, additional fees will be agreed in writing before proceeding.

Representations and Disclaimers

The Services are provided on an "as-is" basis. Arbour does not guarantee specific results or outcomes. Advice is based on circumstances known at the time and may need adjustment as circumstances change.

Client's reliance on Arbour's advice should be considered alongside Client's own judgment and consultation with other professionals (financial advisors, accountants, etc.) as appropriate.

Client acknowledges that legal matters involve inherent risks and uncertainties that cannot be fully predicted.

Limitation of Liability

To the maximum extent permitted by Hong Kong law, Arbour's total liability for claims arising from or related to the Services shall not exceed the fees paid for the Services that gave rise to the claim.

Arbour shall not be liable for consequential, indirect, incidental, or punitive damages, including lost profits or business interruption, regardless of the cause.

These limitations apply except where Hong Kong law prohibits exclusion or limitation of liability.

Termination

Either party may terminate the engagement by written notice. Upon termination, Client remains responsible for fees earned to the date of termination.

Arbour shall deliver Client's materials and cease further work. Arbour retains a lien on Client materials for unpaid fees as permitted by law.

Dispute Resolution

Any disputes arising from these Terms or the Services shall be governed by Hong Kong law and resolved through good faith negotiation between the parties.

If negotiation does not resolve the dispute, either party may pursue resolution through arbitration or litigation in Hong Kong courts, as appropriate.

Entire Agreement

These Terms, together with the engagement letter or proposal, constitute the entire agreement between Arbour and Client regarding the Services. Any modifications must be documented in writing and signed by authorized representatives.

Changes to Terms

Arbour may update these Terms periodically. Notice of material changes will be provided to Client. Continued engagement following notice constitutes acceptance of modified Terms.
